This Agreement is made effective as of the date of software purchase, between CodersGrow Technologies, a company incorporated under the Companies Act, 1956, with its principal office in India (hereinafter referred to as the “Licensor“), and the purchaser of the software/product (hereinafter referred to as the “Licensee“).
CodersGrow Technologies is a web and software development company focused on creating high-quality digital products for businesses across the globe. The company specializes in Laravel, WordPress, and enterprise-grade plugins, extensions, and applications. Licensee wishes to obtain, and Licensor agrees to grant, a license to use the software purchased for developing or enhancing Licensee’s own web/mobile-based application, under the terms outlined below.
Derivative Works – Any software, tool, or module based on or using all or part of the CodersGrow software, source code, or documentation.
Documentation – All materials, whether digital or physical, that describe, explain, or support the use of the software, including but not limited to user guides, annotations, or code instructions.
Improvements – Any enhancements, fixes, or modifications made to the software after the date of this agreement.
Source Code – The original code of the software as maintained by CodersGrow, including executables, libraries, and other resources used in development or support.
The Licensor grants the Licensee a non-exclusive, non-transferable, perpetual, and royalty-free license to use the software solely for internal business or personal use on one domain (unless otherwise stated).
This license includes the right to:
Integrate the software with the Licensee’s existing systems
Use the software on a single live domain
Receive updates as per CodersGrow’s policy
This license does not permit:
Distribution, sublicensing, resale, or public sharing of the software
Using or uploading the source code in public repositories unless the Licensee has a private, paid plan
Using the software for or by third parties unless explicit written permission is obtained
CodersGrow retains all intellectual property rights, copyrights, and titles related to the software and any Derivative Works or Improvements, whether created by CodersGrow or the Licensee. The Licensee is not permitted to develop derivative versions unless separately licensed.
The License Fee is displayed at the time of order placement on CodersGrow’s website and is payable in full upfront.
No refunds will be issued once the payment is completed
The Licensee agrees they are satisfied with the demo/trial before placing the order
Both parties agree that:
They are legally authorized entities or individuals
They have full authority to enter this agreement
This agreement does not violate any other agreement or law they are bound to
CodersGrow warrants that:
The software will function materially as described on the website at the time of purchase
Any additional paid modules will not degrade the base functionality
This agreement takes effect on the payment date and remains valid unless terminated by either party. CodersGrow may terminate the license if the Licensee violates any part of this Agreement. Upon termination:
No refunds will be granted
The Licensee must uninstall or destroy all copies
Continued use after termination may result in legal action
Licensee agrees to indemnify and hold CodersGrow harmless against any claims or losses arising from:
Breach of this agreement
Unauthorized redistribution or use of the software
Claims involving intellectual property violations
Tax or legal liabilities due to misuse
CodersGrow is not liable for:
Loss of profits, revenue, or data
Incidental or consequential damages
Issues arising from misuse or third-party integration
Maximum liability shall not exceed the total amount paid for the software.
CodersGrow is not responsible for delays or failure to fulfill obligations due to events beyond its control, including but not limited to natural disasters, cyberattacks, or government restrictions.
This agreement does not create any partnership, employment, or joint venture. The relationship is strictly that of Licensor and Licensee.
CodersGrow may revise this agreement from time to time. Updates will be posted on our website. Continued use of the software constitutes acceptance of the new terms.
This Agreement supersedes all prior agreements
Amendments must be in writing and signed by both parties
The laws of India govern this agreement
All disputes shall be subject to the jurisdiction of courts in Noida.
The Licensee may not assign or transfer this agreement or its rights without written permission from CodersGrow.

Licensee notices should be sent to the billing address provided during purchase.
If any clause of this agreement is deemed invalid or unenforceable, the remainder shall remain in full force and effect. Invalid sections will be modified to reflect the original intent as closely as possible under the law.
The software is protected under copyright law
Unlicensed usage, sharing, or modification may lead to civil/criminal action
Only one domain license is granted per purchase unless specified
CodersGrow may publish the names of its clients or users without needing further permission
Any disputes arising shall be resolved through arbitration under the Arbitration & Conciliation Act, 1996, with proceedings held in Delhi, India, in English. The arbitrator will be appointed solely by CodersGrow, and the Licensee shall not object.
By purchasing and using this software, you confirm that you have read, understood, and agreed to this Agreement.
